Because you're manipulating the legal system to evade tax payments. Pretty simple if you don't over-think it.
The corporation is a separate entity to me, that has other varying interests and reasons for it's actions. I am merely majority owner and vice president of operations.
Well where is your company operating? Where are your offices located? Where is your main office located? Where do the employees do their work? It might be a little arbitrary where you say you "do business" because with telecommuting and the Internet, your business might be very spread out. However, if you're incorporating in a state where you have no offices and don't do business simply because it has the lowest tax liability, then you're evading taxes.
Do you understand how corporations work?
Yes, they generally work corruptly and without any moral accountability. That's kind of a big problem with the system as it's designed.
Now I'm not claiming you're some kind of completely immoral bastard, but if you're acting in a way to evade paying taxes while reaping benefits paid for by taxes, then in my opinion that's an immoral action.

Your example is a false-dichotomy. It supposes that the bill is split equally, which is in no way the case for our tax system. It also supposes that I get more out of out system than others, or my company does, which is also incorrect. It is just an all around bad equivocation of what we are discussing. I see how you emotionally equated it though.
My business is essentially a technology consulting company. We are completely service based, and do most of our business in other cities and countries around the world. Our employees do not come into an office. They work from home and fly to various jobs around the globe. Our employees also live in various cities around the country. So what reasoning would you give for us to incorporate in a specific state if there is in fact no reason to other than what is in the best interest for the company?

Nothing my company does is illegal, nor is it in the least bit immoral. My company runs in the highest regard for doing the right thing. Everyone we do business with is better off because of their dealings with us. We do not take advantage of anyone, and refuse to do business with anyone that does. We are honest and forthcoming with all dealings, and pay all required taxes. We are the epitome of what makes the United States strong. Yet you seem to only care that I am not incorporated in the state with the highest tax rate. Did you know that you are free to pay a higher rate than required on your taxes? By the logic you have displayed here, you are a tax evader too if you are not paying the maximum possible.
